Article I- Name

The name of the organization shall be Northwestern Illinois Continuum of Care (NWILCOC)

Article II- Purpose

Vision: The vision of the Continuum shall be to unite community leaders from the public, private, and non-profit sectors in our 15 county area in order to work in partnership to build a comprehensive service delivery system that leads families and individuals from homelessness to self sufficiency.

Mission: We are committed to assisting individuals and families who become homeless to regain housing stability and quality of life. We do this through the development of stronger service delivery system which includes greater collaborative planning, collection of continuum wide program statistical data, partnerships, and continuation of expansion of programs

 

Article III- Membership

Membership is open to any community-based organization, government agencies, community member(s), homeless or formerly homeless persons willing to actively participate in a long term collaboration planning process focused on issues of the homeless/at risk families. An individual member cannot be employed and/or represent a member agency or organization.  Membership is defined by paying annual dues per organization or individual at the beginning of a calendar year, January 1st, or when joining the NWILCOC for the first time. Dues paid after October 1st, will also cover membership for the next calendar year. Individual memberships are $10, and agency/provider dues are $25.


Article IV- Voting Privileges (Moved from Article XV)

All current dues paying members, excluding individuals employed and/or representing a member agency or organization, shall have one vote. Each organization will appoint a representative committed to the development and implementation of the NWILCOC in their service or geographical area who will be authorized to vote in each meeting. The representative must be physically present to cast a vote. If the designated representative is unable to attend a meeting, he/she may appoint a delegate to vote in his/her stead. The original designee will make a reasonable effort to notify NWILCOC Co-Chair in advance of the meeting that he/she will be sending a delegate. 


Article V- Meetings

A minimum of four general membership meetings will be scheduled. All NWILCOC general session meetings will be open to the public.


Article VI- Requirements

A quorum shall for general session meetings shall consist of a minimum seven members. A majority of 51% of general session member votes is required to make decisions affecting the entire Continuum.


Article VII- Officers/Region Representatives

Officers of the Continuum will be three: two Co-Chairs and a Secretary/Treasurer. The Region Representative of the Continuum will be two from each Region. Officers must be current voting members.          


Article VIII – Officer Removal

             Any officer may be removed by two-thirds vote of the Steering Committee at any duly constituted Steering Committee whenever, in its              judgment; the best interests of the Continuum would be served. 


Article IX- Officers Responsibilities

             The Co-Chairs duties are to:

             1. Serve as leader of the Continuum

             2. Preside over the meetings of the Continuum

             3. Establish an Agenda for all meetings

             4. Appoint chairs of all committees

             5. Disseminate info in timely manner

             6. Coordinate mailing to members

 

             The Secretary/Treasurer duties are to:

             1. Keep minutes of the NWILCOC meeting

             2. Keep attendance of the NWILCOC meeting

             3. Keep records on status of voting members

             4. Distribute minutes to membership

             5. Maintain official records of the NWILCOC

6. Maintain accounting records of the NWILCOC

             7. Collect dues of the NWILCOC

              8. Provide regular reports to full membership

               9. Manage other funds received by the NWILCOC

 

The County/ Region Representative’s duties are to:

1. Represent Region and NWILCOC

2. Report activities of the NWILCOC to your Region

3. Attend NWILCOC Steering Committee meeting

4. Attend general membership meeting or send delegate if unable to attend



Article X- Election of Officers and Region Representatives

The Co-chairs are elected for a two year term with elections for Co-chair staggering. Secretary/Treasurer will be held bi-annually. Region Representatives are elected for one-year term. All terms shall run according to calendar year or until a person is duly elected for a position. Election to a position after July 1st will not count towards term lengths. For interim elections the term begins immediately after election.


Article XI- Steering Committee

The Steering Committee will be composed of Co-Chair, Secretary/Treasurer, head of Committees, and two representatives from each region. The committee should be representative of the entire geographic region of NWILCOC. The responsibilities of the Steering committee will be to vote on actions to bring to members at general meetings for approval, review proposals, establish priorities of the Continuum, and prepare a yearly calendar for regular meeting dates. An Executive Committee made up of the officers will conduct the business of the NWILCOC between meetings.


Articles XII- Committees

Standing Committee will be established as deemed necessary by the Continuum as a whole. The Co-Chairs will be appointing committee chairs. Any vacancies of committee chairs will be appointed by the Co-Chair. Committees may include persons not members of the Continuum. Ad Hoc committees will be established by the Steering Committee as needed. All committee meetings will be open to the public. Current standing committees are as follows:

1) Technology Committee

                          a. Plan and implement HMIS throughout NWILCOC

b. Provide notice of events and information pertinent to membership through publishing of newsletters,  websites, brochures

c. Support the concept of regions within the NWILCOC

d. Provide quarterly reports to full memberships


             2) Membership Committee

                          a. Actively recruit members to participate

                          b. Identify membership criteria

                          c. Track member participation

                          d. Provide status updates regularly to full membership

                          e. Prepare membership packets/marketing materials


             3) Gaps Analysis/Needs Assessment Committee

                          a. Identify needs assessment process to be utilized

                          b. Facilitate collaboration between agency members

                          c. Collect data through needs assessment process, e.g. surveys

                          d. Provide quarterly reports to full membership


Article XIII- By Laws

By laws shall be in effect after they are approved by a majority vote of the current members of the Continuum of Care.

Recommendations to change or amend by-laws may be made by any member. Changes will be in effect after they are approved by two thirds of the members present at a regular meeting of the NWILCOC.


Article XIV- Rules of Conduct

Robert’s Rules of order shall be used as guidelines for conduct. A copy of the rules of order and by-laws shall be available during each meeting.
